These Terms and Conditions (“Terms”) constitute a legally binding agreement between Engin8 Inc. (“Engin8,” “we,” “us,” or “our”) and the business entity or individual (“User,” “you,” or “your”) accessing or using Engin8.io (the “Website”) and all associated platforms, affiliate tools, and services (collectively, the “Services”). Your use or access to the Services is subject to the additional policies, documents, or other agreements referenced herein and including, without limitation, Engin8’s master services agreement available here https://engin8.io/legal and Engin8’s partner program agreement terms available here: https://partner.engin8.io/register (or at any successor URL(s) advised by Engin8 from time to time) (collectively, the “Additional Terms”). The Additional Terms are incorporated into these Terms by reference. For Partners, “Services” as used herein means and includes the Services or Partner’s access to, or other participation in, the Program (as defined herein).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Services.

2. Eligibility and Account Governance
The Services are designed exclusively for business users. By accessing or using the Website or the other Services, or otherwise registering for an account related to the Services, or participating in the Program, you represent and warrant that:
- You are at least 18 years of age.
- You possess the legal authority to bind the business entity you represent.
- All information provided during registration is accurate and will be maintained as current.
For certain applicable Services, that you are a legitimate vendor of the applicable Third-Party Service e-commerce platform (e.g. Amazon) with an active account(s) with such Third-Party Service that is applicable to the corresponding Service.
- You have authority to grant Engin8 access to your accounts with any applicable Third-Party Service (e.g. Amazon) and to engage services on behalf of your business.
- All data, transaction records, and information you provide to Engin8 are accurate and complete to the best of your knowledge.
- You are solely responsible for the security of your account credentials and all activities performed under your account.
3. Provision of Services
Engin8 provides B2B marketing, affiliate management, analytics, staffing, and operational tools as well as related SaaS Platform and solutions and professional services. We reserve the right to modify, update, or discontinue features of the Services at our sole discretion, without prior notice, including, among other things, to comply with changes to applicable law or to maintain the security and integrity of the platform or any other part of the Services.
Availability of certain Services is subject to third-party products, platforms, or services (collectively, “Third-Party Services”) and, Engin8 may distribute such Third-Party Services with the Services. Third-Party Services include, without limitation, any product, platform, or service provided by or through any e-commerce platforms, like Amazon. If a Third-Party Service ceases to be available or such Third-Party Service provider restricts or imposes any other requirements that restrict or limit the availability of any Services, Engin8 may cease providing such Services without entitling a User to any refund, credit, or other compensation. Such Third-Party Services are subject to their own licence terms and the applicable flow through provisions; if a User does not agree to abide by the applicable terms, then User should not install or use such Third-Party Services or part thereof as necessary for the provision of the Services. Engin8 Inc. is an independent service provider and is not affiliated with, endorsed by, sponsored by, or partnered with any Third-Party Service Provider unless otherwise expressly stated in writing and this includes, for certainty, Amazon.com, Inc. or any of its subsidiaries (collectively, “Amazon”). Amazon, Amazon Vendor Central, Amazon Seller Central and related marks are trademarks of Amazon.com, Inc. Your use of our Services does not create any relationship with Amazon, and Amazon is not responsible for the Services provided by Engin8. You remain solely responsible for compliance with all Third-Party Service terms and conditions, service terms, policies, and vendor agreements. Engin8 is not liable for any actions taken by any Third-Party Service provider may take regarding your account(s) with that Third-Party Service provider.
4. Acceptable Use Policy
You agree to utilize the Services only for lawful business purposes. Prohibited activities include, but are not limited to:
- Engaging in fraudulent, misleading, or unlawful activities including, among other things, in respect of your participation in the Program or any marketing practices.
- Circumventing security protocols or attempting unauthorized access to data.
- Utilizing automated scripts or scraping tools without express written authorization.
- Manipulating affiliate links, tracking mechanisms, or referral data for unfair gain.
- Interfering with the performance or stability of the platform or any other Services.
- breach of default by you, or any person accessing the Services by or through you, of any term, condition, representation, warranty or other obligation herein or in any other Additional Terms
Violation of this section may result in the immediate suspension or termination of your account.
5. Affiliate and Partner Programs
Engin8 may make certain resources available to you if you are expressly approved in writing by Engin8 as an affiliate or partner (each, a “Partner”) and determined by Engin8 to be eligible to participate in Engin8’s partner and affiliate program (individually and collectively, the “Program”). Participation in the Partner Program is subject to acceptance and compliance with the Additional Terms.
6. Intellectual Property Rights
All software, trademarks, logos, and proprietary content provided through the Services are the exclusive property of Engin8 Inc. Users are granted a limited, revocable, non-exclusive license to use the platform for internal business operations. You may not, and shall ensure that any person by or through you shall not, decompile, reverse engineer, or redistribute any portion of the Services. You retain all ownership rights to your business data, Amazon transaction data, and confidential information provided to Engin8. Any analytics, methodologies, or aggregated insights developed by Engin8 including, without limitation, by or through use of our Services, remain our intellectual property.
7. Confidentiality and Data Protection
Confidentiality Users agree to protect non-public information disclosed through accessing or using the Services or made available by Engin8 or an affiliate, including any information that is marked as confidential or that would normally be considered confidential information under the circumstances, including without limitation, proprietary data, trade-secrets, and pricing structures. Engin8 agrees to maintain the confidentiality of your business data, Amazon account information, financial data, and trade secrets. We will use commercially reasonable security measures to protect Amazon Seller Central and Amazon Vendor Central credentials and related account access information, including encryption and access controls. You acknowledge that certain business data, communications, and service information will be processed and stored within Third-Party Services, which maintains its own security protocols and privacy policies.
Privacy Our data practices are governed by our Privacy Policy. By agreeing to these Terms, you also acknowledge the data collection and usage practices outlined therein.
8. Disclaimers and Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ENGIN8 DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGIN8 INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUES, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ENGIN8 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Notwithstanding the foregoing, these Terms do not limit liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence. Other than the foregoing, Engin8 is liable only for its breaches of these Terms or the other applicable agreement(s) entered into between you and Engin8, subject to applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Engin8 Inc. and its affiliates (being an entity that belongs to Engin8, and its subsidiaries), and its and their respective officers, employees, and contractors, from any claims, damages, or legal expenses arising from: (a) your misuse of the Services, (b) breach of these Terms or any other applicable agreement(s) entered into between you and Engin8, (c) or violation of third-party rights (d) any claims by a Third-Party Service (including Amazon) related to your account or our authorized access to such Third-Party Service; (e) inaccurate information or representations provided to Engin8; or (f) your violation of any Third-Party Service terms or conditions.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York.
Unless otherwise specified in any other applicable agreement(s) entered into between you and Engin8, either party may terminate this Agreement at any time, with or without cause, effective immediately upon notice to another Party. Engin8 may immediately terminate or suspend your access for: (a) breach of these Terms; (b) violation of any terms or conditions applicable to any Third-Party Services; or (c) non-payment of fees. Upon termination: (i) your access to the Services and related coordination tools, will cease; and (ii) Engin8 may retain data as required by law or legitimate business purposes. Sections relating to fees, intellectual property, confidentiality, indemnification, limitations of liability, and dispute resolution survive termination.
12. Modifications to Terms
Engin8 reserves the right to update these Terms at any time. We will notify users of material changes by updating the “Last Updated” date and, for significant changes, by email notification to your registered account email. Continued use of the Services after such changes constitutes your binding acceptance of the updated Terms. If you do not agree to modified Terms, you must discontinue use of the Services.
